This 60-minute small group session, part of our combined M&A and Private Funds Summit, will explore some of the key issues to tackle in take-private transactions relating to management compensation, retention and equity incentives.  We will cover some of the critical transaction-related compensation items like treatment of outstanding equity awards, mitigating golden parachute tax penalties under Section 280G of the tax code, and implementing effective retention programs. In addition, we will discuss strategies for designing go forward incentive programs under a private company framework.
